Terms of Service
Last updated: 19 October 2026
1. Who these terms are between
These terms are an agreement between Jiviko (“Jiviko”, “we”), run from India, and the business that creates a Jiviko account (“you”). The person who signs up confirms they are allowed to agree for the business, and must be 18 or older.
By creating an account, signing in, or using Jiviko, you agree to these terms and to the Privacy Policy.
2. What Jiviko is
Jiviko is software for businesses to talk to their customers on WhatsApp: a shared inbox, contacts, campaigns, automations, forms, a catalogue and orders, appointments, leads, integrations, an API, and optional AI replies.
Jiviko works on top of Meta's WhatsApp Business Platform. Meta decides whether your WhatsApp number may send messages, how many, of which kinds, and what they cost. We cannot overrule Meta, and Meta may change its rules or its prices at any time.
3. Your account
- Keep your password safe and your team's logins to the people they belong to. You are responsible for what is done with your account's logins.
- The owner can add team members (owners, admins, agents) and switch their logins off. Owners and admins manage money, plans, connected services, API keys and webhooks.
- You can sign in with a password or with Google.
- Give us a working email address. We use it for security and billing messages.
4. Your responsibilities on WhatsApp
You are the sender of every message that goes from your number, including those sent by your automations, campaigns, AI replies and API. You agree to:
- follow Meta's rules for WhatsApp Business, including the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy;
- get each person's permission (opt-in) before sending them marketing, and record it truthfully when you import, connect or add contacts — Jiviko asks you to declare it and keeps a permanent record of it;
- stop when someone opts out. Jiviko stops marketing automatically when a person replies with an opt-out word, and you must not work around that;
- not send spam, or anything illegal, misleading, harmful, or that you have no right to send;
- follow the laws that apply to your messages and your customers' data, including India's Digital Personal Data Protection Act, 2023 and any rules on commercial communications that apply to you.
Jiviko enforces some of this for you — it will not send marketing to anyone without a recorded opt-in, it will not send to a blocked contact, it keeps to WhatsApp's 24-hour reply window and Meta's sending limits, and it pauses your campaigns if Meta flags your number. These protections are help, not a guarantee: Meta may still limit, restrict or ban your number, and that is between you and Meta.
5. What you may not do
You may not use Jiviko to: break the law or Meta's rules; send messages people did not agree to; harass, defraud or deceive anyone; send malware; collect data you have no right to; try to reach another business's data; overload, probe or attack the service; offer Jiviko under your own brand (white-label) — reselling is allowed only through Jiviko's partner programme; or copy or reverse-engineer it.
6. Money
6.1 WhatsApp message charges
Meta bills you directly for WhatsApp messages, through the payment method on your WhatsApp Business account. Jiviko does not charge for ordinary messages. If that ever changes, these terms will change first.
6.2 Your wallet
- Your Jiviko wallet is a prepaid balance in your account's currency, which is fixed when you sign up.
- You add money with Razorpay or PayPal, or we record a payment you make to us another way. Your balance is the sum of every entry in your wallet's statement, which you can see and download in the portal.
- The wallet pays for AI replies beyond your plan's monthly allowance, voice-note transcripts, and your plan's subscription — each at the prices shown in your portal. A charge for an AI reply that then fails is returned to the wallet automatically.
- When the balance runs out, AI replies and transcripts stop until you add money, and a plan renewal waits (6.3). Ordinary messaging is not stopped by the wallet. We warn you in the portal, and by email, when the balance is low.
- Wallet balance does not expire. A charge made in error is corrected. For any other refund of unused balance, write to us; we answer each request individually.
- Prices are shown in the portal. Taxes such as GST are added where the law requires.
6.3 Plans and subscriptions
- Plans, what each includes, and the limits that apply are shown in the portal under Your plan, with prices in your currency.
- A plan is paid from your wallet, one period at a time, monthly or yearly, and renews automatically until you cancel. There is no card on file.
- If the wallet cannot pay a renewal, the plan becomes overdue. It keeps working for 7 days; after that its included allowances stop until you add money, and the overdue period is still owed.
- Cancelling: an owner or admin can cancel at any time. The plan ends at the end of the period already paid for; nothing is refunded for the rest of that period, and nothing more is charged.
- Changing plan takes effect immediately. The unused part of your current period is credited to your wallet and the new plan's first period is charged.
- Before the price of your plan changes for an existing subscription, we tell the account's owners by email.
7. AI features
- AI replies and voice-note transcripts are off unless Jiviko switches them on for your account. You can pause AI replies, and switch them off for any contact.
- AI replies are written by a third-party AI provider (Privacy Policy, section 5). AI can be wrong. It answers only from the instructions you give it and the recent conversation, and you are responsible for those instructions and for what is sent from your number.
8. Integrations, API and webhooks
- When you connect another service (a CRM, a store, Google Sheets or Google Forms) or send events to your own web address, data goes there because you asked. Those services are yours, under their own terms, and you are responsible for them.
- API keys are shown once. Keep them secret; anything done with your key is done by you. Revoke a key you think is exposed.
9. Your data
- The data about your contacts and your messages is yours. We process it only to provide Jiviko to you, as the Privacy Policy describes.
- You give us permission to store, process and transmit that data as needed to run the service for you.
- You can export your contacts and your wallet statement at any time.
10. Help from Jiviko staff
To help you, a Jiviko operator may open your portal as you for up to 30 minutes. The portal shows when this is happening and every change made is recorded.
11. Suspension and ending
- We may suspend an account that breaks these terms or Meta's rules, does not pay, puts people or the service at risk, or when the law requires. Where we reasonably can, we tell you first and say why. While suspended, no one can sign in and nothing is sent.
- You may stop using Jiviko at any time. An owner can ask us to close the account and delete its data at cloud.jiviko.com/delete-account; we confirm by email first, then delete as the Privacy Policy says.
- Records we must keep by law (payments, consent records) are kept as the Privacy Policy says.
12. Availability and changes to the service
We work to keep Jiviko available, but we do not promise any particular uptime. WhatsApp, Meta and our other providers can be unavailable, and we are not responsible for their outages. We may change, add or remove features; when we remove something you pay for, we tell you before it goes.
13. Intellectual property
Jiviko's software, design and brand are ours. You keep everything you bring — your content, contacts, templates and brand — and give us the rights needed to run the service for you.
14. Liability
- Jiviko is provided “as is”. To the extent the law allows, we make no promise that it will be uninterrupted or error-free.
- We are not responsible for indirect losses, lost profits, or Meta's decisions about your number or account.
- To the extent the law allows, our total liability to you is limited to the amount you paid Jiviko in the 12 months before the claim.
- You are responsible for, and will cover us against, claims arising from your messages, your contacts' data in your hands, and your breach of these terms or Meta's rules.
15. Changes to these terms
We post every change on this page and update the date at the top. Before a significant change takes effect, we email the owners of every account. If you keep using Jiviko after that date, the new terms apply.
16. Law and disputes
These terms are governed by the laws of India, and the courts of India have jurisdiction over any dispute.
